1. Introduction & Scope

1.1. Contractual Parties

Welcome to FindersEdge (the “Platform” or “Site”). Please read these Terms of Service carefully before utilizing the Platform or opening a consumer buyer account (“Account”) so that you are aware of your legal rights and obligations with respect to FindersEdge (individually and collectively referred to as “FindersEdge,” “we,” “us,” or “our”).

1.2. Description of Service

The “Services” we provide include (a) the FindersEdge Mobile Application for Buyers, (b) the technical services and client software modules provided through the Platform, and (c) all information, linked features, digital transaction data, images, text, promotions, and return-dispute video logs made available through the Platform (“Content”). These Terms govern your access to and use of the Services as a consumer Buyer.

1.3. Marketplace Operating Framework

The Services function as an online marketplace infrastructure providing an environment for the transaction of goods between consumer buyers (“Buyers”) and third-party independent designer labels and merchants onboarding as sellers (“Brands”).

1.4. Mandatory Age Policies

By creating an Account, you confirm you are of legal age to give binding consent under the laws of the Republic of the Philippines. If you are under the age of 18, you must obtain explicit permission from a parent or legal guardian to open an Account, and that parent or guardian must explicitly agree to be bound by these Terms on your behalf.

2. Privacy & Communication Channels

2.1. Privacy Policy Incorporation

Your privacy is a core priority. Data collection, transmission, and processing activities are governed strictly by the FindersEdge Privacy Policy. By creating an account, using the Platform, or initiating a transaction, you acknowledge that your personal data will be collected, processed, stored, and shared as described in the FindersEdge Privacy Policy and in accordance with the Data Privacy Act of 2012 (Republic Act No. 10173). You retain the rights granted to you under applicable data privacy laws, including the rights described in our Privacy Policy.

2.2. Infrastructure Sub-Processors & Networks

To maintain real-time account updates, secure catalog delivery, and active marketplace security protocols, FindersEdge utilizes external cloud architecture, hosting, and content delivery network (CDN) providers (including, but not limited to, Amazon Web Services (AWS), Google Cloud Platform (GCP), Cloudflare, or alternative enterprise network hosts) to store core databases and deliver automated transaction receipts, push notifications, and operational marketplace emails. By utilizing the Platform, you consent to receiving these automated operational service alerts on your registered mobile device and email interface.

3. Account Security & Termination Proceedings

3.1. Registration Protocols

Accessing core marketplace functionalities requires the establishment of an Account by registering a unique user identification structure, linking an active mobile number or email interface, and submitting accurate biographical profile inputs.

3.2. User Maintenance Obligations

You agree to maintain password confidentiality, restrict device access to your authenticated app instance, and immediately notify our support team at support@findersedge.com if you suspect a breach of your credentials. You are fully liable for all checkout authorizations, escrow activations, and text submissions originating from your active user session.

3.3. Volitional In-App Account Termination

Buyers may terminate their Account at any time via the designated in-app termination module. Buyers may request deletion of their Account at any time through the designated in-app account deletion feature. Before submitting an account deletion request, Buyers are encouraged to resolve any pending disputes, refund requests, or customer support matters. Buyers acknowledge that deleting an Account before such matters are resolved may delay or limit FindersEdge’s ability to investigate, process, or assist with those matters. Nothing in this Section limits or waives any rights provided under applicable law.

4. Mandatory Code of Conduct for Buyers

When utilizing the Services and interacting with Content, you represent, warrant, and agree that you shall not under any circumstances:

5. Transaction Architecture & Third-Party Payment Deployment

5.1. Secure Checkout Infrastructure

FindersEdge utilizes secure, PCI-DSS compliant third-party payment gateway operators and settlement partners (such as Xendit, PayMongo, or similar integrated financial services platforms) to execute all Credit Card, Debit Card, and digital e-wallet transactions.

5.2. Data Transmission Restrictions

PCI-DSS revenue compliance protection: FindersEdge does not store, process, or maintain credit card, debit card, or secure bank credential data on its own corporate servers or cloud infrastructure. All financial inputs are encrypted and routed directly to our designated third-party payment engine processors. To facilitate successful order checkouts, FindersEdge transmits necessary Personal Identifiable Information (PII) packets (e.g., Buyer Full Name, Billing Address, Contact Number, and Total Order Cost) over secure encrypted protocols to the active payment processor gateway. By confirming an order checkout, you authorize this mandatory secure transmission.

5.3. Authoritative Review Measures

FindersEdge and its billing partners maintain the absolute right to cross-reference and verify a Buyer's payment authorization privileges. FindersEdge reserves the right to suspend or cancel any transaction if valid identity mapping or fraud verification checks fail to clear.

5.4. Irrevocable Transaction Authorization & Chargeback Waiver

The Platform provides a final, unambiguous confirmation step immediately prior to checkout routing. By clicking the final payment authorization button, you confirm that you have reviewed your order details, total purchase amount, and shipping information. Buyers agree not to initiate fraudulent, abusive, or bad-faith chargebacks relating to transactions they knowingly authorized. Nothing in this Section limits a Buyer’s right to dispute unauthorized, erroneous, or fraudulent transactions through their payment provider or as otherwise permitted by applicable law.

6. Logistics, Packaging, and Disbursement Procedures

6.1. Fulfillment Structures

Deliveries are executed either via the Brand’s own logistics network or through FindersEdge Partner Logistics Service Providers. Shipping costs remain the exclusive financial responsibility of the Buyer, except where modified by a platform-authorized promotion or Brand-sponsored campaign.

6.2. Order Status Finalization

Transaction finalization and merchant payment triggers are tied directly to operational logging inside the vendor ecosystem. Once a physical shipment is successfully dropped off, received, or collected at a designated site, the order status must be formally advanced to “Delivered” or “Picked Up” within the system by the handling Brand. Buyers are encouraged to review their in-app order updates to track progress and verify delivery consistency.

6.3. Buyer Transit Liabilities

The Buyer shall bear all accessory logistics fees, re-routing fees, and storage costs resulting directly from Buyer error, which includes but is not limited to:

6.4. Loss of Return Rights Due to Fault

If a marketplace shipment is permanently lost or destroyed due to a Buyer-initiated delivery cancellation, immediate refusal of delivery at the doorstep, or explicit delivery unresponsiveness, the Buyer acknowledges that they forfeit all entitlements to returns, refunds, or exchanges.

7. Cancellations, Refunds, Returns, and Brand Separation

7.1. Return, Cancellation, and Gateway Fee Policy Adherence

All pre-fulfillment order cancellations, payment gateway fee liabilities, return requests, product defect claims, and refund applications are evaluated exclusively through the criteria and structural escrow mechanics set forth in the formal FindersEdge Marketplace Governance Policy.

7.2. Merchant of Record & Official Tax Invoices

The Buyer explicitly acknowledges that the selling Brand acts as the sole legal Merchant of Record for all customer transactions facilitated through the application.

In-the-box invoicing: In strict compliance with Philippine law, the Brand is exclusively responsible for legal tax reporting and documentation. Buyers will find their official corporate tax invoice or valid retail receipt securely enclosed inside the physical shipping packaging upon delivery, displaying the exact final gross price paid on the application.

7.3. Cosmetic & Beauty Transparency Disclaimer

Brands offering skincare, cosmetics, health items, or beauty products are contractually obligated to explicitly disclose ingredients, potential side effects, and allergy restrictions on their product profile listings. FindersEdge acts solely as the marketplace platform and is not the manufacturer of products sold by independent Brands. To the fullest extent permitted by applicable law, responsibility for product quality, ingredient disclosures, product safety, and applicable warranties remains with the selling Brand. Nothing in this Section excludes or limits liability where such limitation is prohibited by law.

8. Liability Disclaimers & Revenue Exclusions

8.1. “As-Is” Service Warranty & Availability

FindersEdge uses commercially reasonable efforts to maximize platform uptime; however, the Buyer acknowledges that we do not guarantee uninterrupted or error-free service. FindersEdge shall not be held liable for operational disruptions, transaction failures, or access delays stemming from core infrastructure dependencies, cloud database outages (including third-party infrastructure hosts and CDN vendors), regional cellular carrier configurations, payment gateway system errors, or minor programmatic bugs.

9. Changes to These Terms

9.1. Revisions and Immediate Operational Modifications

We may revise these Terms of Service from time to time to reflect improvements to the Platform, legal or regulatory requirements, security enhancements, or operational changes. Material changes will be communicated through the application, email, or other official communication channels before they become effective, unless immediate changes are required by law or for security purposes. Continued use of the Platform after the effective date of the revised Terms constitutes acceptance of the updated Terms of Service.

10. Governing Law and Resolution of Disputes

10.1. Jurisdiction & Forum Selection

These Terms of Service shall be governed exclusively by, and interpreted in accordance with, the laws of the Republic of the Philippines.

10.2. Exclusive Venue Choice

Any legal action arising out of or relating to these Terms shall be brought before the proper courts of Metro Manila, Philippines, except where applicable law provides otherwise.

11. Miscellaneous Provisions

11.1. Force Majeure Clause

FindersEdge shall not be held liable for delays or operational failures caused by events beyond its reasonable control, including natural disasters, typhoons, severe floods, volcanic activity, earthquakes, regional telecommunications or internet backbone outages, power grid failures, government mandates, trade blockades, labor strikes, or systemic third-party infrastructure vendor failures.

11.2. Severability

If any provision of these Terms is declared invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
